“Curaleaf Bids to Acquire Aurora Cannabis Inc.”

Aurora Cannabis Inc. is evaluating a bid from a U.S. cannabis company seeking to acquire the Edmonton-based company. Aurora made known its formation of a special committee to review the unsolicited offer following Curaleaf Holdings Inc.’s announcement of its intention to purchase all outstanding shares of Aurora.

If successful, the acquisition would result in a merged cannabis entity operating in 17 countries across Europe, North America, and other global markets. Curaleaf, headquartered in Stamford, Connecticut and listed on the Toronto Stock Exchange, disclosed that it decided to publicly present its acquisition plan after private negotiations with Aurora’s leadership failed to progress.

Curaleaf mentioned that Aurora’s board declined to engage in talks after receiving a formal letter of intent from Curaleaf’s CEO, Boris Jordan, on June 23. Despite a follow-up letter sent on July 7, Aurora purportedly did not participate in constructive discussions with Curaleaf.

Expressing disappointment with Aurora’s board for not actively engaging, Jordan conveyed in a press release the company’s readiness to directly approach Aurora shareholders with their offer due to the perceived benefits and the resistance faced in negotiations. Curaleaf expressed its willingness to collaborate with Aurora’s board to finalize the transaction swiftly.

Curaleaf proposed a payment to Aurora shareholders of $4 US per share in addition to $0.75 US in cash for each Aurora share. Aurora acknowledged receiving letters from Curaleaf outlining the acquisition proposals, clarifying that only the July 7 correspondence included financial terms which were not detailed regarding cash and share components.

Contrary to Curaleaf’s assertion that Aurora declined to discuss the offer, Aurora mentioned ongoing communication between its lead independent director and Curaleaf’s CEO as recent as July 24. Aurora plans to establish a special committee of independent directors to assess the proposal’s alignment with stakeholders’ interests, cautioning that a deal is not guaranteed and operations will continue unaffected in the interim.

While acknowledging Curaleaf’s interest in the bid, TD Cowen analysts Derek Lessard and Ryan Neal expressed the belief that the current offer undervalues Aurora’s long-term potential. They emphasized Aurora’s market leadership in medical cannabis, diverse product portfolio, financial stability, and regulatory expertise as factors that could generate significant value over time.

Jordan highlighted the potential value creation through the merger, citing the combination of Curaleaf’s global distribution network with Aurora’s established international medical cannabis operations and production capabilities. The companies’ combined revenue exceeded $1.5 billion US over the past year, with Curaleaf anticipating annual cost synergies of at least $40 million US from the proposed acquisition.

Calling the merger a mutually beneficial opportunity for shareholders of both companies, Jordan emphasized the chance for Aurora shareholders to participate in a more diversified global platform and benefit from U.S. regulatory developments.
