“Emera Inc. and Canadian Utilities Announce $72B Merger Deal”

Emera Inc. and Canadian Utilities Ltd. have announced a merger deal, combining their strengths in an all-stock transaction valued at $72 billion. This merger will position the newly formed energy entity as one of the largest utilities in North America.

The merger brings together Emera, based in Halifax with operations in the US and the Caribbean, and Canadian Utilities, headquartered in Calgary with operations in Canada’s North, Mexico, Australia, and Puerto Rico. This strategic move aims to capitalize on the increasing demand for energy due to electrification trends and infrastructure development, enhancing the company’s ability to support Canada’s growth objectives.

As part of the agreement, Emera will acquire Canadian Utilities and Atco Ltd., which holds a controlling interest in Canadian Utilities. Simultaneously, Atco’s industrial services division will be spun off as a new publicly traded company for its existing shareholders, overseen by Atco’s CEO, Nancy Southern.

The combined Emera/Canadian Utilities entity will have the resources and expertise to invest in essential energy and infrastructure projects to meet rising demands. The newly formed Atco will focus on expanding its presence in housing, defense, and industrial services segments, fostering growth opportunities.

The companies anticipate leveraging economic expansion, infrastructure enhancements, and an increasing emphasis on security and resilience to create long-term value for shareholders and contribute to Canada’s development. The merged utility, operating under the Emera brand, will be headquartered in Halifax while maintaining Canadian Utilities’ corporate and operational bases in Calgary and Edmonton.

Upon completion, existing Emera shareholders are expected to own approximately 60% of the combined utility, with former Atco and Canadian Utilities shareholders holding the remaining 40%.

The merger is set to unlock synergies and drive growth, enabling the companies to pursue new opportunities and deliver value to shareholders and the Canadian community.
